These Website Terms of Use govern access to and use of the website located at https://myelai.io, together with any webpages, forms, content, materials, scheduling flows, intake experiences, and related online features made available by Myelai Inc. through that website.
These Terms are a legal agreement between Myelai Inc., a Delaware corporation with principal business operations based in Florida, and the person or entity accessing or using the Site. By accessing or using the Site, submitting information through the Site, booking a meeting, or otherwise interacting with Myelai through the Site, you accept and agree to be bound by these Terms. If you do not agree, do not access or use the Site.
For purposes of these Terms, “Myelai,” “Company,” “we,” “us,” and “our” mean Myelai Inc. “You” and “your” mean the individual accessing the Site and, if applicable, the company, organization, or other legal entity on whose behalf that individual acts.
1. Scope of These Terms
These Terms apply only to use of the Site and related online interactions made available through the Site.
Separate written agreements, order forms, statements of work, master services agreements, business associate agreements, data processing agreements, partnership agreements, pilot agreements, or other signed arrangements may govern Myelai’s paid products, services, implementations, integrations, advisory work, technical discovery, mapping work, strategic partnerships, or client engagements. If a separate written agreement between you and Myelai conflicts with these Terms, the separate written agreement will control only for the subject matter covered by that agreement.
2. No Automatic Client Relationship
Use of the Site, submission of information through the Site, scheduling a call, booking “The Map,” receiving an automated response, or communicating with Myelai does not create a client, customer, fiduciary, professional, agency, partnership, employment, joint venture, or advisory relationship with Myelai unless and until Myelai enters into a separate written agreement expressly establishing that relationship.
Myelai may decline, pause, limit, or condition any engagement in its sole discretion.
3. Description of Myelai
Myelai provides business process intelligence, operational mapping, implementation support, software-enabled services, and related strategic and technical work for organizations seeking to understand how their operations function, where friction exists, and where high-leverage action may be appropriate.
Descriptions of Myelai’s method, process, offerings, capabilities, examples, case studies, proof points, or potential outcomes are provided for general informational and commercial purposes only. They do not guarantee that any particular business, operational, technical, financial, regulatory, clinical, or commercial result will be achieved.
4. Informational Nature of Site Content
The Site may contain information regarding business operations, process mapping, healthcare operations, implementation strategy, workflow design, software, data, automation, artificial intelligence, operational intelligence, and related topics.
All Site content is provided for general informational purposes only. Site content is not legal, medical, clinical, financial, accounting, tax, investment, compliance, security, engineering, procurement, or professional advice. You should not rely on Site content as a substitute for advice from qualified professionals familiar with your specific circumstances.
5. No Medical, Clinical, or Patient-Care Advice
Myelai is not a healthcare provider, medical practice, clinical decision-maker, payer, health plan, laboratory, pharmacy, or emergency service. The Site does not provide medical advice, diagnosis, treatment, triage, clinical recommendations, patient-care instructions, or emergency services.
Nothing on the Site should be used to make clinical decisions, diagnose or treat a patient, determine medical necessity, replace professional medical judgment, or respond to an emergency. In a medical emergency, contact emergency services immediately.
6. Healthcare, HIPAA, and Protected Health Information
Unless Myelai has entered into a written business associate agreement or other applicable written agreement with a covered entity or business associate, you must not submit, upload, disclose, transmit, or otherwise provide protected health information, patient records, medical information, medical images, insurance information, claims information, clinical notes, treatment details, or other regulated health information through the Site.
The Site is not intended to receive protected health information unless expressly authorized in a separate written agreement. Myelai may delete, reject, quarantine, or decline to process information that appears to contain regulated health information submitted outside an approved contractual framework.
You are solely responsible for ensuring that any information you submit through the Site is lawful to submit and does not violate HIPAA, state health privacy laws, contractual obligations, confidentiality duties, patient consents, data-use restrictions, or any other applicable requirements.
7. “Book the Map” and Intake Submissions
The Site may allow users to submit information, answer intake questions, schedule a meeting, or request a mapping conversation through “Book the Map” or similar features.
By submitting information through the Site, you represent and warrant that:
- a. you have the authority to submit the information;
- b. the information is accurate to the best of your knowledge;
- c. the information does not violate any law, contract, duty of confidentiality, privacy obligation, intellectual property right, or third-party right;
- d. you will not submit protected health information or other regulated sensitive information unless a separate written agreement permits it;
- e. you understand that Myelai may use the information to evaluate fit, prepare for a conversation, understand your organization’s needs, communicate with you, and determine possible next steps.
Submitting information does not obligate Myelai to provide services, accept an engagement, prepare deliverables, or maintain the information indefinitely.
8. Accounts and Access Credentials
Certain areas of the Site or related services may require account credentials or authorized access. If you receive credentials, you are responsible for maintaining their confidentiality and for all activities occurring under your account.
You must promptly notify Myelai of any suspected unauthorized access, compromise, or misuse. Myelai may suspend or terminate access if it reasonably believes credentials have been compromised or the Site has been misused.
9. Acceptable Use
You may use the Site only for lawful purposes and in accordance with these Terms.
You agree not to:
- a. access or use the Site in any way that violates law, regulation, contract, or third-party rights;
- b. submit false, misleading, fraudulent, unlawful, defamatory, obscene, threatening, abusive, discriminatory, infringing, or otherwise inappropriate material;
- c. submit protected health information, payment card data, government identifiers, biometric information, children’s data, or other sensitive regulated information unless expressly authorized in writing;
- d. attempt to gain unauthorized access to the Site, Myelai systems, accounts, networks, infrastructure, or data;
- e. probe, scan, test, circumvent, or compromise the security, authentication, rate limits, or availability of the Site;
- f. introduce malware, viruses, worms, malicious code, harmful instructions, or destructive files;
- g. scrape, crawl, harvest, mine, copy, or extract data from the Site except as expressly permitted by Myelai in writing;
- h. use the Site to train, benchmark, evaluate, replicate, or develop a competing product, service, model, workflow, dataset, or commercial offering;
- i. reverse engineer, decompile, disassemble, modify, or create derivative works of any Site feature, software component, workflow, interface, design, or system;
- j. remove, obscure, or alter proprietary notices;
- k. interfere with or disrupt Site functionality;
- l. impersonate any person or entity;
- m. use automated systems to access the Site in a manner that exceeds reasonable human use;
- n. use the Site to transmit unsolicited marketing, spam, or unlawful communications;
- o. use the Site in any manner that could damage Myelai, its clients, partners, vendors, systems, reputation, or business.
10. Client Materials and User Submissions
You may provide information, text, documents, messages, prompts, responses, business descriptions, process descriptions, workflows, data, files, comments, feedback, or other materials through the Site or related intake channels.
As between you and Myelai, you retain ownership of materials you submit, subject to any rights held by third parties. You grant Myelai a non-exclusive, worldwide, royalty-free license to use, host, store, copy, process, transmit, display, analyze, and create internal outputs from your submissions for the purpose of operating the Site, responding to your request, evaluating potential engagement fit, preparing for meetings, improving Myelai’s services, maintaining security, complying with law, and otherwise performing activities reasonably related to your interaction with Myelai.
Myelai does not claim ownership of your confidential business information merely because you submit it through the Site.
11. Confidentiality
Information submitted through general website forms is not automatically treated as confidential unless a separate written confidentiality agreement, nondisclosure agreement, master services agreement, or other written agreement applies.
You should not submit trade secrets, highly confidential information, regulated information, patient information, proprietary source code, credentials, financial account information, or sensitive business information through the Site unless Myelai has expressly authorized the submission in writing and appropriate contractual protections are in place.
If Myelai and you have entered into a separate confidentiality agreement, that agreement governs confidential information covered by it.
12. Myelai Intellectual Property
The Site, including its text, structure, design, graphics, interfaces, visual assets, trademarks, logos, service marks, trade dress, slogans, content, workflows, software, methods, frameworks, page layouts, copy, proprietary terminology, product names, and other materials, is owned by Myelai or its licensors and is protected by intellectual property and other laws.
Except as expressly permitted in writing, you may not copy, reproduce, distribute, publicly display, publicly perform, modify, create derivative works from, frame, mirror, scrape, reverse engineer, sell, license, exploit, or use the Site or any Myelai materials for commercial purposes.
All rights not expressly granted are reserved.
13. Feedback
If you provide suggestions, ideas, improvements, comments, recommendations, or other feedback regarding Myelai, the Site, Dendron, The Map, The Mapping, The Living Map, or any Myelai product, service, method, workflow, or business process, you grant Myelai a perpetual, irrevocable, worldwide, royalty-free, fully paid, sublicensable, transferable right to use, disclose, reproduce, modify, distribute, commercialize, and otherwise exploit that feedback without restriction or compensation to you.
14. Third-Party Services and Links
The Site may contain links to third-party websites, tools, calendars, forms, hosting providers, analytics providers, embedded content, communications tools, payment processors, or other third-party services.
Myelai does not control and is not responsible for third-party services. Your use of third-party services is governed by their own terms and privacy policies. Myelai is not liable for third-party content, availability, security, accuracy, practices, or performance.
15. No Guarantee of Results
Myelai may describe examples of past work, case studies, operational improvements, implementation timelines, savings, efficiencies, process improvements, or business outcomes. These examples are illustrative only.
You acknowledge that business outcomes depend on many factors outside Myelai’s control, including personnel, implementation discipline, client responsiveness, data quality, systems, market conditions, budget, leadership decisions, vendor cooperation, regulatory requirements, and operational constraints.
Myelai does not guarantee revenue growth, cost savings, timeline reduction, implementation success, product-market fit, funding, compliance, clinical outcomes, adoption, or any other result.
16. Beta, Prototype, and Experimental Features
The Site or related experiences may include beta, prototype, demonstration, preview, experimental, or developing features. Such features may be incomplete, inaccurate, unavailable, changed, discontinued, or removed at any time.
Beta or experimental features are provided for evaluation only and should not be relied upon for production, legal, compliance, clinical, financial, or mission-critical use unless expressly agreed in writing.
17. Availability and Modifications
Myelai may modify, suspend, restrict, replace, discontinue, or remove the Site or any part of it at any time without notice. Myelai does not guarantee that the Site will be uninterrupted, error-free, secure, current, or available at any particular time or location.
18. Security
Myelai uses reasonable administrative, technical, and organizational measures designed to protect the Site. No website, network, system, transmission, or storage method is completely secure. You are responsible for using appropriate safeguards when interacting with the Site and for ensuring that your own systems, devices, credentials, and networks are secure.
19. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ALL SITE CONTENT, FEATURES, MATERIALS, OUTPUTS, AND RELATED ONLINE INTERACTIONS ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS.”
MYELAI DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AVAILABILITY, SECURITY, RELIABILITY, QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.
MYELAI DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, CURRENT, ACCURATE, OR FREE FROM HARMFUL COMPONENTS.
20. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MYELAI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, OWNERS, AGENTS, REPRESENTATIVES, AFFILIATES, LICENSORS, SERVICE PROVIDERS, AND PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, ENHANCED, OR LOST-PROFIT DAMAGES, INCLUDING DAMAGES FOR LOST REVENUE, LOST BUSINESS, LOST DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, SYSTEM FAILURE, SECURITY INCIDENTS, LOSS OF OPPORTUNITY, COST OF SUBSTITUTE SERVICES, OR THIRD-PARTY CLAIMS, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MYELAI’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU PAID MYELAI FOR ACCESS TO THE SITE IN THE THREE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, WHICHEVER IS GREATER.
THE LIMITATIONS IN THIS SECTION APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW AND WILL APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
21. Indemnification
You agree to defend, indemnify, and hold harmless Myelai and its officers, directors, employees, contractors, owners, agents, representatives, affiliates, licensors, service providers, and partners from and against any claims, demands, actions, proceedings, losses, liabilities, damages, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:
- a. your access to or use of the Site;
- b. your violation of these Terms;
- c. your submissions or materials;
- d. your violation of law, regulation, contract, confidentiality obligation, privacy obligation, or third-party right;
- e. your submission of protected health information or regulated information without authorization;
- f. your misuse of Site content;
- g. your negligence, willful misconduct, or fraud.
22. Suspension and Termination
Myelai may suspend, restrict, or terminate your access to the Site at any time, with or without notice, if Myelai believes you have violated these Terms, created risk, misused the Site, submitted inappropriate or regulated information, infringed rights, or otherwise acted in a manner inconsistent with Myelai’s interests.
Sections intended by their nature to survive will survive termination, including provisions relating to intellectual property, confidentiality, disclaimers, limitations of liability, indemnification, dispute resolution, and governing law.
23. Electronic Communications
By submitting information through the Site or contacting Myelai, you consent to receive communications from Myelai electronically. Communications may include responses to inquiries, scheduling communications, service-related notices, legal notices, marketing communications, and other business communications. You may opt out of marketing emails as described in those emails, but Myelai may still send non-marketing communications.
24. Export, Sanctions, and Restricted Parties
You may not use the Site in violation of U.S. export control laws, sanctions laws, or other applicable trade restrictions. You represent that you are not located in, organized under the laws of, or ordinarily resident in any country or territory subject to comprehensive U.S. sanctions, and that you are not identified on any restricted-party list.
25. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, except to the extent applicable law requires another governing law.
26. Dispute Resolution; Venue
Before initiating a formal claim, you agree to first contact Myelai at connect@myelai.io and provide a written description of the dispute, the relief requested, and the facts supporting the claim. The parties will attempt in good faith to resolve the dispute informally for at least thirty (30) days.
If a dispute is not resolved informally, any action arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in Florida, unless Myelai elects arbitration or another dispute process in a separate written agreement. You consent to personal jurisdiction and venue in those courts and waive any objection based on inconvenient forum.
27. Class Action Waiver
To the maximum extent permitted by law, you and Myelai agree that any dispute will be brought only on an individual basis and not as a plaintiff, claimant, class member, or representative in any class, collective, consolidated, private attorney general, or representative proceeding.
28. Injunctive Relief
You acknowledge that unauthorized use of the Site, misuse of Myelai intellectual property, breach of confidentiality obligations, security violations, or misuse of Myelai systems may cause irreparable harm for which monetary damages may be inadequate. Myelai may seek injunctive, equitable, or other immediate relief without posting bond or proving actual damages.
29. Changes to These Terms
Myelai may update these Terms at any time. The updated Terms will be posted on the Site with an updated “Last Updated” date. Changes are effective when posted unless otherwise stated. Your continued use of the Site after changes become effective constitutes acceptance of the updated Terms.
30. Severability
If any provision of these Terms is held invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
31. No Waiver
Myelai’s failure to enforce any provision of these Terms is not a waiver of that provision or any other provision. Any waiver must be in writing and signed by Myelai.
32. Assignment
You may not assign or transfer these Terms or your rights or obligations under them without Myelai’s prior written consent. Myelai may assign these Terms without restriction.
33. Entire Agreement
These Terms, together with the Privacy Policy and any additional terms expressly incorporated by reference, constitute the entire agreement between you and Myelai regarding use of the Site and supersede all prior or contemporaneous understandings regarding the Site.
